2. ELIGIBILITY AND ACCOUNT REGISTRATION

To access certain features of our Services, including software downloads, license management, and customer support, you must register for a user account.

• Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

• Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for any activity that occurs under your account. You must notify us immediately of any unauthorized use or security breach.

3. INTELLECTUAL PROPERTY RIGHTS

All content and intellectual property on this website and within our Services—including but not limited to the Kraxton Labs name, the CompDX brand name, logos, software binaries, source code, underlying AI models, graphical user interfaces, website design, text, images, tutorials, and documentation—are the exclusive property of Kraxton Labs LLC or its licensors and are protected by United States and international copyright, trademark, patent, and trade secret laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access our website for informational and purchase purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, scrape, reverse engineer, or commercially exploit any part of our website or materials without our express prior written consent.

4. PURCHASES, SUBSCRIPTIONS, AND BILLING (THE "SLATE DIGITAL" CLAUSE)

Kraxton Labs offers software licenses for purchase, which may include perpetual licenses or recurring subscription models.

• Merchant of Record: All store transactions, billing, billing inquiries, and regional tax compliance are handled exclusively by our authorized third-party reseller and Merchant of Record, Paddle (Paddle.com). By completing a purchase, you agree to Paddle’s respective terms and checkout conditions.• Subscription Model & Automatic Renewal: If you purchase a Subscription License, you authorize Paddle to automatically charge your chosen payment method at the start of each billing cycle (monthly or annually) at the then-current rate.

• Cancellation Policy: You may cancel your subscription at any time through your Kraxton Labs user account portal or via Paddle’s customer service. Upon cancellation, your subscription will remain active until the end of the current paid billing period, after which your access to the Software will be deactivated. No partial refunds are provided for unused days in a billing cycle.

• Price Changes: We reserve the right to adjust pricing for our software and subscriptions at any time. Any price changes will be communicated to subscription holders in advance and will apply to the next billing cycle.

5. EVALUATION AND TRIALS

We may offer temporary, time-limited trial licenses of CompDX for evaluation purposes. Trial versions are provided strictly "AS IS" for professional testing. Upon expiration of the trial period, continued use of the Software requires the purchase of a valid commercial license. Attempting to bypass trial limitations or manipulate system clocks to extend evaluations constitutes a material breach of these Terms.

6. ACCEPTABLE USE & SUPPORT CONDUCT

You agree to use our website and support channels strictly for lawful and legitimate professional purposes. When contacting support or utilizing any user communication channels, you are strictly prohibited from:

• Submitting or transmitting any unlawful, defamatory, abusive, obscene, harassing, or infringing content.

• Uploading viruses, malware, or malicious code designed to disrupt our servers or web infrastructure.

• Attempting to gain unauthorized access to our network, server systems, or other user accounts.

• Using automated systems, bots, or spiders to scrape data or extract licensing mechanisms from our web services.

Kraxton Labs reserves the right, at its sole discretion, to terminate or suspend your account and access to our Services immediately, without notice, if you violate these provisions.

7. DISCLAIMER OF WARRANTIES

THE WEBSITE, STORE, AND ALL PORTALS OR SERVICES PROVIDED THEREIN ARE MADE AVAILABLE ON AN "AS IS" AND "AS AVAILABLE" BASIS. KRAXTON LABS LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, THE AVAILABILITY OF THE CHANNELS, OR THE COMPLETE ABSENCE OF SERVER DOWNTIME, TECHNICAL GLITCHES, OR MAINTENANCE INTERRUPTIONS. USE OF OUR WEBSITE AND DIGITAL CHANNELS IS STRICTLY AT YOUR OWN RISK.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KRAXTON LABS LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, OUR WEBSITE, STORE, USER PORTALS, OR DIGITAL SERVICES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, WORK INTERRUPTION, WEBSITE DOWNTIME, SYSTEM ERRORS, OR ANY PECUNIARY LOSS. IN NO EVENT SHALL KRAXTON LABS' TOTAL LIABILITY FOR WEB-RELATED DISPUTES EXCEED THETOTAL AMOUNT PAID BY YOU TO US (OR VIA PADDLE) FOR THE SPECIFIC SERVICE OR LICENSE OUT OF WHICH THE CLAIM AROSE.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Kraxton Labs LLC, its founders, managers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms, your misuse of the website, or your infringement of any third-party rights.

10. GOVERNING LAW AND JURISDICTION

These Terms and your relationship with Kraxton Labs LLC shall be governed by, interpreted, and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Broward County, Florida, and you hereby consent to the personal jurisdiction of such courts.
